Agreement and company information
These Terms of Use and Subscription ("Terms") are a binding agreement between the organization or person accepting them ("Customer," "you," or "your") and Superior Payments, LLC, the Tampa, Florida parent company and operator of Superior Web Monitoring ("SUPWM," "we," "us," or "our"). They govern the public website, customer portal, subscriptions, trials and online services identified at checkout.
By accessing the website, creating an account, clicking acceptance or using a service, you agree to these Terms. If you act for an organization, you represent that you have authority to bind it. If you do not agree or lack authority, do not use the service.
Order of documents
A signed service agreement, data-processing agreement, order form or statement of work may add to or replace these Terms. If documents conflict, the following order controls unless a signed document says otherwise: signed service or data-processing agreement; signed order or statement of work; checkout order; these Terms; and website descriptions.

Eligibility and business use
You must be at least 18 and use SUPWM for legitimate business purposes. Consumer or household use is not intended. You may not use false information, impersonate another person or organization, or use an account without authority.
Accounts, access and security
You are responsible for accurate account information, authorized users, roles, devices and activity. Keep authentication methods secure, promptly remove users who no longer need access and notify security@supwm.com of suspected compromise.
An approved identity provider may manage sign-in, MFA and passkeys. SUPWM does not receive passkey private keys, biometric templates or PINs. Authentication alone does not grant portal access; active tenant membership and permissions are required.
Services and product boundaries
SUPWM provides merchant-intelligence, public-site monitoring, evidence, workflow, PCI SAQ, reporting, integration and related services described in the order. Features may differ by plan, add-on, jurisdiction, readiness and configuration.
SUPWM provides information and workflow support—not legal, underwriting, security, accounting or compliance advice. It is not a Qualified Security Assessor, does not certify PCI DSS compliance, does not make a customer’s final merchant decision and does not imply approval by Mastercard, another card network, regulator or acquirer.
Plans, fees and taxes
Plan, add-on, usage, implementation and support charges appear at checkout or in an order. Unless stated otherwise, amounts are U.S. dollars and exclude taxes. You authorize us and the active payment provider to charge applicable fees and taxes.
Future renewal pricing may change with notice required by the order or law. A change does not alter a prepaid current term. Enterprise allowances, monitoring cadence and service levels are governed by the order.
Fourteen-day trials
An eligible customer may receive one 14-day trial unless checkout says otherwise. Unless canceled before the disclosed end, the selected monthly or yearly paid subscription may begin automatically and the payment method may be charged.
Trial functionality and support may be limited. Trial reports are marked DEMO / TRIAL, are not production attestations and must not be represented as final paid deliverables, certifications or independent validation.
Renewal, cancellation and refunds
Monthly subscriptions renew monthly and yearly subscriptions renew yearly until canceled, unless the order states a fixed term. Where required, we provide advance renewal notice and a cancellation method reasonably comparable to the acceptance method.
Cancel through available account controls or billing@supwm.com. Cancellation ordinarily prevents the next renewal and takes effect at the end of the current paid period. Paid fees are non-refundable except where an order, these Terms or law requires otherwise. Removing monitored assets does not cancel a subscription.
Payment providers
Payment fields may be provided by Stripe or another gateway through provider-neutral checkout. Card information is submitted directly to the provider; SUPWM is not designed to store full card numbers or security codes. Failed payment may result in retry, restricted functionality or suspension after reasonable notice.
Customer data and instructions
You retain ownership of data you submit or control. You grant SUPWM and its providers a limited right to host, copy, process, transmit and display it only to provide, secure and support the service, follow documented instructions and meet legal obligations.
You represent that you have all rights, notices, consents and authority needed to submit data, configure integrations and instruct monitoring. Do not submit cardholder data, authentication secrets or highly sensitive data unless a signed agreement and approved secure workflow expressly permit it.
Monitoring authorization
You may monitor only domains, applications, payment paths, merchant records and assets you own, control or are authorized to assess. You are responsible for target accuracy, scope, credentials and required notices or permissions.
You must not gain unauthorized access, evade controls, perform denial-of-service activity, exploit vulnerabilities, collect beyond the approved purpose or monitor an unrelated third party. We may require proof of authorization and stop risky activity.
Shopping Cart Monitor
Shopping Cart Monitor inventories scripts and detects security-relevant changes on authorized ecommerce payment paths according to the subscribed Basic, Plus or Pro level. Results depend on configured paths, timing, accessibility and technical conditions. Alerts require customer review and response.
The service may support evidence workflows associated with PCI DSS 6.4.3 and 11.6.1, but does not establish compliance, replace required controls or guarantee detection of every unauthorized change.
PCI SAQ workspace
The PCI SAQ workspace helps authorized customers complete, preserve, download and renew self-assessment records. You are responsible for selecting the correct SAQ, truthful answers, required signatures, professional assistance and submission to the correct recipient.
SUPWM reminders and generated PDFs are workflow aids, not an assessment by SUPWM, and do not guarantee acceptance by an acquirer, card brand or standards body.
Reports, evidence and decisions
Reports reflect information, scope and timing available when generated. Observations may be incomplete or require human review. Customers must independently evaluate outputs before acting.
SUPWM keeps machine recommendations, analyst dispositions and customer final decisions distinct. The customer remains responsible for approval, decline, remediation and reporting. Evidence access, retention, quarantine and deletion may be restricted by governance controls.
Acceptable use
You may not use SUPWM to violate law, sanctions, privacy or intellectual-property rights; upload harmful code; disrupt the service; bypass controls; access another tenant; reverse engineer, copy, resell or create a competing service except where law prohibits restriction; scrape outside documented APIs; exceed limits; make deceptive or discriminatory decisions; misrepresent output as certification; or submit cardholder data or credentials through unapproved channels.
Third-party services and integrations
SUPWM may interoperate with identity, cloud, payment, email, CRM, webhook, SFTP, scanner and other services. Your use of third-party services is governed by their terms. You authorize transfers to destinations you configure. We remain responsible for our obligations under these Terms and law.
Intellectual property and feedback
SUPWM software, models, interfaces, documentation, branding and original content are owned by Superior Payments, LLC or licensors. During an active subscription, we grant you a limited, non-exclusive, non-transferable, revocable internal-use right under the order.
Feedback may be used worldwide, perpetually and royalty-free without identifying you or disclosing confidential customer data.
Confidentiality
Each party will protect the other’s non-public confidential information using reasonable care and use it only for the relationship. Information lawfully known, independently developed, lawfully received or public without breach is excluded. Required legal disclosure is permitted after notice where allowed. A signed confidentiality agreement controls if different.
Availability, changes and beta features
We may maintain, update or modify the service and apply reasonable security and reliability limits. Service levels apply only when signed. Beta, pilot, preview and future-direction features may change or end and are for evaluation.
We do not promise uninterrupted or error-free operation, access to every website or restricted area, or detection of every risk or change.
Suspension and termination
We may suspend access for security risk, unauthorized use, legal requirements, nonpayment or material breach. When practicable, we provide notice and an opportunity to cure. We may terminate for uncured breach, unlawful use, insolvency or as stated in an order.
At termination, access ends and charges become due. Export and deletion follow the order, privacy policy and retention rules. Provisions that should survive by nature remain effective.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, SERVICE, REPORTS AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SUPERIOR PAYMENTS, LLC DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND WARRANTIES ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT COMPLETE, ERROR-FREE OUTPUTS OR FITNESS AS THE SOLE BASIS FOR A DECISION. NON-WAIVABLE RIGHTS REMAIN UNAFFECTED.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED, EACH PARTY’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED FEES PAID OR PAYABLE FOR THE AFFECTED SERVICE DURING THE 12 MONTHS BEFORE THE EVENT. FOR FREE WEBSITE USE, OUR AGGREGATE LIABILITY WILL NOT EXCEED $100.
Indemnification
You will defend and indemnify Superior Payments, LLC and its personnel against third-party claims arising from unlawful use, unauthorized monitored targets, infringing customer data or your material breach. We will notify you and allow reasonable defense control, subject to our participation right. A signed agreement may replace this section.
Florida law and disputes
Florida law governs, without conflict-of-law principles. Unless a signed agreement says otherwise, state and federal courts in Hillsborough County, Florida have exclusive jurisdiction and each party consents to venue there.
Before filing a claim, the parties will attempt in good faith for 30 days to resolve it through written notice and business discussion. Urgent injunctive relief and legal deadlines are unaffected.
General terms
Neither party is liable for delay beyond reasonable control, except payment obligations. Assignment requires consent except with a permitted transfer of substantially all relevant assets; we may assign in a merger, reorganization or sale. An unenforceable provision is limited as necessary and the remainder stays effective. Failure to enforce is not waiver.
Electronic acceptance and notices are valid. These Terms and incorporated ordering documents are the entire agreement for their subject. Website descriptions do not expand a signed scope.
Changes to these Terms
We may update these Terms for future use and renewals. We will post the revised date and give additional notice when required. Material changes will not retroactively reduce rights for a prepaid term unless required by law, needed for security or expressly accepted.
